Limited ve Anonim Şirketlerde Zorunlu Sermaye Tutarları Artırıldı!(Mandatory Minimum Share Capital Amounts Increased for Limited Liability and Joint Stock Companies!
“Türk Ticaret Kanunu’nun Geçici Madde-15’e göre, 25/11/2023 tarihli Cumhurbaşkanı Kararı ile limited şirketlerde 50 bin TL(eski 10 bin TL), anonim şirketlerde 250 bin TL(eski 50 bin TL), halka açık olmayan ancak kayıtlı sermaye sisteminde bulunan anonim şirketlerde ise 500 bin TL asgari sermaye tutarları belirlenmiştir. Mevcut sermayesi bu tutarların altında olan şirketlerin en geç 31 Aralık 2026 tarihine kadar sermayelerini bu seviyelere tamamlamaları zorunludur. Aksi durumda şirketler resmen fesih sayılacak ve Ticaret Bakanlığı gerekli görürse bu süreyi toplam iki yıl süresince uzatabilecektir.”
Söz konusu madde değişikliği nedeniyle, Türkiye’de mevcut sermayesi asgari tutarların (Limited için 50.000 TL, A.Ş. için 250.000 TL) altında olan anonim ve limited şirketler, en geç 31 Aralık 2026 tarihine kadar sermayelerini tamamlamalıdır. Aksi halde:
•Bu şirketler infisah (fesih) sayılacaktır.
Ayrıca, Ticaret Bakanlığı’na bu süreyi yılda birer yıl, en fazla iki defa uzatma yetkisi verilmiştir.
Yani, maksimum iki yıl ek süre — toplamda teorik olarak 2028’e kadar uzatmaya yetkilidir ancak şu için geçerli son tarih 31.12.2026’dır.
Şahıs şirketleri (kollektif, adi komandit, şahıs işletmesi vb.) sermaye şirketi değillerdir ve Türk Ticaret Kanunu çerçevesinde asgari sermaye yatırma zorunluluğu bulunmaz.
Bu nedenle:
•Ticaret odasına kayıtlı şahıs şirketlerinin mevcut sermayesi, ortaklarından alınan işletme sermayesine dayalıdır, devletin düzenlediği asgari sermaye miktarı gibi bir sınır yoktur.
•Dolayısıyla, şahıs şirketleri, asgari sermayeyi tamamlamak için herhangi bir sermaye artırımına gitmek zorunda değildir.
Özetle: Sermaye şirketlerinde (anonim ve limited) olduğu gibi bir “asgari sermaye
tamamlama” tarihi ya da zorunluluğu şahıs şirketleri için söz konusu değildir.

Mandatory Minimum Share Capital Amounts Increased for Limited Liability and Joint Stock Companies!
Pursuant to Provisional Article 15 of the Turkish Commercial Code, introduced by the Presidential Decree dated 25 November 2023, the minimum share capital requirements have been increased as follows:
Limited Liability Companies (Ltd. Şti.): TRY 50,000 (previously TRY 10,000)
Joint Stock Companies (A.Ş.): TRY 250,000 (previously TRY 50,000)
Non-public Joint Stock Companies adopting the Registered Capital System: TRY 500,000
Accordingly, all existing limited liability and joint stock companies in Türkiye whose current share capital is below the applicable minimum amounts (TRY 50,000 for Limited Liability Companies and TRY 250,000 for Joint Stock Companies) are required to increase their share capital to the prescribed minimum level no later than 31 December 2026.
Failure to comply with this requirement will result in:
The company being deemed dissolved (terminated by operation of law).
Furthermore, the Ministry of Trade has been authorized to extend this deadline by up to one year at a time, for a maximum of two extensions. Accordingly, although the deadline may theoretically be extended until 2028, the currently applicable final deadline remains 31 December 2026.
Sole Proprietorships and Other Non-Corporate Business Forms
Sole proprietorships and other non-corporate business entities (such as collective partnerships and ordinary limited partnerships) are not capital companies under the Turkish Commercial Code and are therefore not subject to any statutory minimum share capital requirement.
Accordingly:
The capital of sole proprietorships registered with the relevant chamber of commerce is based on the owner’s invested business capital, and there is no government-prescribed minimum capital requirement.
Therefore, sole proprietorships are not required to increase their capital in order to comply with the minimum capital thresholds applicable to capital companies.
In summary, unlike limited liability and joint stock companies, sole proprietorships are not subject to any mandatory minimum capital requirement or capital completion deadline.
In order to avoid delays and potential congestion as the deadline approaches, we strongly recommend completing the required share capital increase as soon as possible.
