Transit Ticaret ve Yurt Dışında Gerçekleşen Mal Alım-Satımlarında %95 / %100 Kurumlar Vergisi İndirimi(95% / 100% Corporate Tax Deduction for Transit Trade and Purchase and Sale of Goods Taking Place Abroad)

1. Düzenlemenin Özeti
7582 sayılı Kanun ile 5520 sayılı Kurumlar Vergisi Kanunu’nun 10/1-(i) bendinde önemli bir değişiklik yapılmış ve transit ticaret ile yurt dışında gerçekleşen mal alım-satımlarına aracılık faaliyetleri bakımından kapsam genişletilmiştir.
Yeni düzenlemeye göre;
yurt dışından satın alınan malların Türkiye’ye getirilmeksizin yurt dışında satılmasından veya yurt dışında gerçekleşen mal alım-satımlarına aracılık edilmesinden elde edilen kazançların genel olarak %95’i kurum kazancından indirilebilecektir.
Bununla birlikte;
İstanbul Finans Merkezi’nde 7412 sayılı Kanun kapsamında katılımcı belgesiyle faaliyet gösteren kurumlar ile 4737 sayılı Endüstri Bölgeleri Kanunu kapsamında kurulan ve yabancı yatırım yoğunluğuna göre Cumhurbaşkanınca uygun bulunan endüstri bölgelerinde faaliyet gösteren kurumlar açısından indirim oranı %100 olarak uygulanacaktır.

2. Hangi İşlemler İndirim Kapsamındadır?
Düzenleme esas itibarıyla iki faaliyet grubunu kapsamaktadır.
A) Malın şirket tarafından alınıp yurt dışında satılması
Türkiye’deki şirket yurt dışındaki bir firmadan mal satın almakta, ancak mal Türkiye’ye ithal edilmeden başka bir ülkedeki müşteriye satılmaktadır.
Örneğin:
Almanya’daki satıcı → Türkiye’deki şirket → Fransa’daki müşteri
Mal;
Almanya → Fransa
şeklinde hareket ediyorsa işlem KVK 10/1-(i) kapsamına girebilir.
Tebliğde de Almanya’dan satın alınan malların Türkiye’ye getirilmeden Fransa’daki şirkete satılması sonucunda elde edilen 1.000.000 TL kazancın, şartların sağlanması halinde 950.000 TL’sinin indirilebileceği örneklendirilmiştir.

3. Yurt Dışındaki Mal Alım-Satımına Aracılık
Şirketin malı kendi adına satın alması zorunlu değildir.
Türkiye’deki bir şirketin, tamamen yurt dışında bulunan iki şirket arasındaki mal ticaretine aracılık ederek komisyon veya aracılık geliri elde etmesi de kapsam dahilindedir.
Örneğin:
İtalya’daki satıcı ↔ Türkiye’deki aracı şirket ↔ Mısır’daki alıcı
Türkiye’deki şirket bu işlemden 400.000 TL net aracılık kazancı elde etmiş olsun.
Şartlar sağlanıyorsa:
400.000 × %95 = 380.000 TL
kurum kazancından indirilebilir.
Vergilendirilecek kısım:
20.000 TL
olacaktır. Tebliğde de aynı nitelikteki aracılık işlemi örneklendirilmiştir.
Aracılıkta önemli şart
Aracılık faaliyetinde hem satıcının hem de alıcının Türkiye’de bulunmaması gerekir.

4. İstanbul Finans Merkezi’nde %100 İndirim
Düzenlemenin önemli farklılıklarından biri İstanbul Finans Merkezi’nde faaliyet gösteren kurumlara ilişkindir.
7412 sayılı İstanbul Finans Merkezi Kanunu kapsamında katılımcı belgesi alarak İstanbul Finans Merkezi Bölgesi’nde faaliyet gösteren kurumlarda, KVK 10/1-(i) kapsamındaki kazançlar için genel %95 oran yerine %100 indirim uygulanmaktadır.
Ancak üç hususun özellikle altı çizilmelidir:

Katılımcı belgesi 7412 sayılı Kanun kapsamında katılımcı belgesine sahip olunmalıdır. Sadece İFM’de ofis kiralamak yeterli değildir.
Kazancın niteliği Kazanç yine transit ticaret veya yurt dışındaki mal alım-satımına aracılıktan kaynaklanmalıdır.
7412 sayılı Kanunda katılımcı; katılımcı belgesiyle İFM’nin ofis alanında faaliyet gösterecek gerçek ve tüzel kişiler, şubeler ve diğer belirli yapılar olarak tanımlanmıştır.
İFM örneği
İstanbul Finans Merkezi’nde katılımcı belgesi bulunan (A) A.Ş.;
Japonya’daki bir şirketten mal satın almış ve mal Türkiye’ye gelmeden Birleşik Arap Emirlikleri’ndeki müşteriye satılmıştır.
Bu işlemden elde edilen net kazanç:
2.000.000 TL
olsun.
Normal bir şirkette indirim:
2.000.000 × %95 = 1.900.000 TL
olurken;
İFM katılımcısı bakımından:
2.000.000 × %100 = 2.000.000 TL
indirim uygulanabilir.
Dolayısıyla bu kazancın tamamı kurumlar vergisi matrahından indirilebilir. Bu durum 26 Seri No.lu Tebliğde de ayrıca örneklendirilmiştir.
Ancak İFM’deki her gelir vergisiz değildir
Örneğin İFM’deki bir şirketin;
• transit ticaretten 2.000.000 TL,
• Türkiye’deki müşterilere yaptığı satışlardan 3.000.000 TL,
• başka faaliyetlerinden 1.000.000 TL
kazanç elde ettiğini varsayalım.
%100 indirim yalnızca şartları sağlayan 2.000.000 TL transit ticaret kazancı açısından uygulanacaktır.
Diğer kazançlar sırf şirket İFM’de bulunduğu için KVK 10/1-(i) kapsamında indirilemez.

5. Endüstri Bölgelerinde %100 İndirim
4737 sayılı Endüstri Bölgeleri Kanunu kapsamında kurulan endüstri bölgelerinin tamamı otomatik olarak %100 indirimden yararlanmamaktadır.
Kanunda;
bölgenin yabancı yatırım yoğunluğuna göre Cumhurbaşkanınca uygun bulunan endüstri bölgelerinde faaliyet gösteren kurumlar için oran %100 olarak belirlenmiştir.
Dolayısıyla bir şirket endüstri bölgesinde faaliyet gösteriyor diye doğrudan %100 oran uygulanmamalıdır.
Öncelikle ilgili endüstri bölgesinin bu kapsamda Cumhurbaşkanınca uygun bulunup bulunmadığı kontrol edilmelidir.
Şartları sağlayan bölgede faaliyet gösteriliyorsa;
1.000.000 TL transit ticaret kazancı → 1.000.000 TL indirim
mümkün olacaktır.

6. Kazancın Türkiye’ye Transfer Edilmesi Şartı
%95 veya %100 indirimden yararlanabilmek için en önemli şartlardan biri kazancın Türkiye’ye transfer edilmesidir.
Kazancın;
elde edildiği hesap dönemine ilişkin yıllık kurumlar vergisi beyannamesinin verilmesi gereken tarihe kadar Türkiye’ye transfer edilmiş olması gerekir.
Örneğin takvim yılı kullanan bir şirketin 2026 yılı transit ticaret kazancı bakımından transfer şartının, 2026 yılı kurumlar vergisi beyannamesinin verilmesi gereken süre sonuna kadar yerine getirilmesi gerekir.
Süresi içerisinde Türkiye’ye getirilmeyen kazanç için indirim uygulanamaz.
Kazancın daha sonraki yılda Türkiye’ye getirilmesi de geçmiş dönem bakımından indirim hakkını yeniden doğurmaz.

7. Malların Gümrüklü Antrepoya Gelmesi
Kanun metninde “Türkiye’ye getirilmeksizin” ifadesi bulunmakla birlikte, 26 Seri No.lu Tebliğ gümrüklü antrepolar açısından önemli bir açıklama yapmıştır.
Yurt dışından alınan mal Türkiye’deki gümrüklü antrepoya gelebilir.
Mal;
• serbest dolaşıma sokulmazsa,
• herhangi bir işleme tabi tutulmazsa,
• Türkiye’deki bir alıcıya satılmazsa,
• doğrudan yurt dışındaki alıcıya gönderilirse,
%95 indirim uygulanabilecektir.
Tebliğ örneği
Almanya → Türkiye’deki gümrüklü antrepo → Bulgaristan
Mal Türkiye’deki antrepoda beklemekte ancak ithalat işlemi yapılarak serbest dolaşıma sokulmamaktadır.
Mal üzerinde herhangi bir işlem yapılmadan Bulgaristan’daki müşteriye gönderilmektedir.
Net kazanç:
2.000.000 TL
ise;
2.000.000 × %95 = 1.900.000 TL
indirim uygulanabilir.
Tebliğdeki Örnek 4 doğrudan bu duruma ilişkindir.

8. Serbest Bölgeye Gelen Mallarda Durum
Serbest bölgelerde durum gümrüklü antrepo kadar açık değildir.
3218 sayılı Serbest Bölgeler Kanununa göre serbest bölgeler Türkiye Gümrük Bölgesinin parçaları olmakla birlikte, serbest dolaşımda olmayan eşya açısından ithalat vergileri, ticaret politikası önlemleri ve kambiyo mevzuatı bakımından Türkiye Gümrük Bölgesi dışında kabul edilmektedir.
Örneğin;
Çin → Mersin Serbest Bölgesi → Almanya
şeklinde gerçekleştirilen bir işlemde;
mal Türkiye’de serbest dolaşıma girmiyor, üzerinde işlem yapılmıyor ve yeniden yurt dışına gönderiliyorsa işlem ekonomik ve gümrük niteliği itibarıyla antrepo işlemine oldukça yakındır.
Ancak 26 Seri No.lu Kurumlar Vergisi Genel Tebliğinde gümrüklü antrepo için açıkça örnek verilmesine rağmen, serbest bölgeye gelen malın aynen tekrar yurt dışına gönderilmesi bakımından aynı açıklıkta bir örnek bulunmamaktadır.
Bu nedenle mevcut düzenleme bakımından değerlendirmemiz:

9. Serbest Bölgedeki Üretim İstisnasıyla Karıştırılmamalıdır
Serbest bölgedeki bir malın transit şekilde alınıp satılması ile serbest bölgede üretim yapılması aynı düzenleme değildir.
3218 sayılı Serbest Bölgeler Kanunu kapsamında üretim faaliyetinde bulunan mükelleflerin bölgede imal ettikleri ürünlere ilişkin ayrı kurumlar vergisi istisnası bulunmaktadır.
2026 yılından itibaren serbest bölgede imal edilen ürünlerin;
yurt dışına, aynı serbest bölge içine veya diğer serbest bölgelere
satışından elde edilen kazançlar şartları çerçevesinde istisna kapsamındadır.
Dolayısıyla serbest bölgede üretim yapan bir şirket açısından önce 3218 sayılı Kanundaki üretim istisnasının, transit ticaret yapan şirket açısından ise KVK 10/1-(i) indiriminin değerlendirilmesi gerekir.

10. KDV Açısından Transit Ticaret
Yurt dışında bulunan bir malın yurt dışından satın alınarak Türkiye’ye getirilmeden yine yurt dışında teslim edilmesi, teknik olarak Türkiye’de bir KDV istisnası uygulanması anlamına gelmemektedir.
Esas olan, teslimin Türkiye’de gerçekleşmemesi nedeniyle işlemin Türk KDV’sinin konusuna girmemesidir.
Gelir İdaresi Başkanlığının 10.01.2024 tarihli özelgesinde de Almanya’dan satın alınan malların Türkiye’ye ithal edilmeden Almanya’daki müşteriye satılması işleminde teslimin Türkiye’de gerçekleşmemesi nedeniyle işlemin Türk KDV’sinin konusuna girmediği açıklanmıştır.
Dolayısıyla klasik örnekte:
Almanya → Türkiye’deki şirket → Fransa
şeklindeki transit ticaret satış faturasında Türkiye’de KDV hesaplanması söz konusu olmayacaktır.
Ancak işlemin gerçekleştiği yabancı ülkede yerel KDV/VAT yükümlülüğünün doğup doğmadığı ayrıca o ülkenin mevzuatına göre değerlendirilmelidir.

11. %95 İndirim Beyannamede Nasıl Uygulanacaktır?
Burada önemli olan nokta, %95’lik tutarın muhasebe kayıtlarında gelirden çıkarılmamasıdır.
Transit ticaret kazancı ticari bilanço kârına normal şekilde dahil edilir.
Sonrasında KVK 10/1-(i) kapsamındaki tutar kurumlar vergisi beyannamesinde indirim konusu yapılır.
Örnek
Şirketin;
normal faaliyetlerinden kazancı: 2.000.000 TL
transit ticaretten net kazancı: 1.500.000 TL
olsun.
Ticari bilanço kârı:
3.500.000 TL
Transit ticaret indirimi:
1.500.000 × %95 = 1.425.000 TL
Diğer unsurlar bulunmadığı varsayımıyla indirimin ardından kalan tutar:
3.500.000 − 1.425.000 = 2.075.000 TL
olacaktır.
Yani transit ticaret kazancı muhasebede normal kazanç olarak durmakta; 1.425.000 TL beyanname üzerinde indirim konusu yapılmaktadır.
İndirim kapsamındaki hasılat, maliyet ve giderlerin diğer faaliyetlerden ayrı olarak izlenmesi önem taşımaktadır. KVK Genel Tebliği de indirim kapsamındaki kazancın belirlenebilmesi için bu ayrımın muhasebe kayıtlarında yapılmasını öngörmektedir.

12. %95 İndirimin Ardından Kalan %5 ve İhracat Oranı
Yurt dışından satın alınan malların Türkiye’ye girmeksizin başka bir ülkedeki müşteriye satılması, KVK’nın kurumlar vergisi oranına ilişkin hükümleri bakımından da ihracat faaliyeti olarak kabul edilmektedir.
Gelir İdaresinin güncel Kurumlar Vergisi Oran Rehberinde, bu faaliyetten elde edilen ihracat kazançlarına 5 puan indirimli kurumlar vergisi oranı uygulanabileceği açıkça belirtilmektedir.
Bu nedenle klasik transit mal ticaretinde, %95 indirim sonrasında vergilendirilecek kalan kazanç bakımından ayrıca 5 puanlık ihracat oranı indiriminin şartları değerlendirilmelidir.
Örneğin 1.000.000 TL transit ticaret kazancı için:

Bu durumda, diğer şartların da sağlandığı örnekte efektif vergi yükü 1.000.000 TL kazanç üzerinden 10.000 TL, yani yaklaşık %1 seviyesine kadar düşebilmektedir.
Aracılık/komisyon gelirlerinde ise 5 puanlık ihracat oranı indiriminin şartları transit malın şirket tarafından doğrudan alınıp satıldığı işlemden ayrı değerlendirilmelidir.

13. Yurt İçi Asgari Kurumlar Vergisi
7582 sayılı Kanun ile KVK 10/1-(i) kapsamındaki bu indirim, yurt içi asgari kurumlar vergisi uygulaması bakımından da dikkate alınacak şekilde düzenlenmiştir.
Bu nedenle kanundaki şartları sağlayan %95 veya %100 transit ticaret indiriminin, yalnızca %10’luk yurt içi asgari kurumlar vergisi uygulaması nedeniyle tamamen etkisiz hale gelmesi önlenmiştir.

Vergi incelemesinde işlemin gerçek niteliğinin ve indirim şartlarının ispatlanabilmesi açısından özellikle;
• yurt dışı alış faturaları,
• yurt dışı satış faturaları,
• taşıma ve sevk belgeleri,
• konşimento / CMR vb. belgeler,
• antrepo giriş ve çıkış belgeleri,
• malın serbest dolaşıma sokulmadığını gösteren gümrük kayıtları,
• alıcı ve satıcının yurt dışındaki durumunu gösteren belgeler,
• aracılık sözleşmeleri,
• banka transfer kayıtları,
• kazancın süresinde Türkiye’ye transfer edildiğini gösteren banka dekontları,
• İFM bakımından katılımcı belgesi,
• endüstri bölgelerinde ilgili bölgenin Cumhurbaşkanınca uygun bulunduğunu gösteren düzenlemeler
düzenli olarak muhafaza edilmelidir.
Ayrıca indirim kapsamındaki hasılat, maliyet ve giderlerin diğer faaliyetlerden ayrı şekilde muhasebeleştirilmesi gerekmektedir.

SONUÇ
7582 sayılı Kanunla birlikte transit ticaret ve yurt dışında gerçekleşen mal alım-satımlarına aracılık faaliyetleri açısından önemli bir kurumlar vergisi avantajı getirilmiştir.
Genel olarak şartları sağlayan kurumlarda ilgili net kazancın %95’i kurumlar vergisi matrahından indirilebilir.
İstanbul Finans Merkezi’nde 7412 sayılı Kanun kapsamında katılımcı belgesiyle faaliyet gösteren kurumlarda ve Cumhurbaşkanınca uygun bulunan belirli endüstri bölgelerinde ise aynı faaliyetlerden elde edilen kazanç bakımından indirim oranı %100’dür.
Gümrüklü antrepoya gelen malların serbest dolaşıma sokulmadan ve işleme tabi tutulmadan yeniden yurt dışına gönderilmesi durumunda da Tebliğdeki açık örnek doğrultusunda indirimden yararlanılabilmektedir.
Serbest bölge üzerinden gerçekleştirilen benzer transit işlemler bakımından ise antrepo uygulamasındaki kadar açık bir idari düzenleme bulunmadığından, önemli tutarlı işlemlerde özelge alınması uygun olacaktır.
Uygulamada özellikle malın hareketi, alıcı-satıcı konumu, Türkiye’ye transfer şartı, İFM katılımcı belgesi, antrepo/serbest bölge statüsü ve faaliyet kazancının ayrı muhasebeleştirilmesi hususları titizlikle takip edilmelidir.

95% / 100% Corporate Tax Deduction for Transit Trade and Purchases and Sales of Goods Conducted Abroad

1. Summary of the Regulation
Law No. 7582 introduced a significant amendment to subparagraph 10/1-(i) of the Corporate Tax Law No. 5520 and expanded the scope with respect to transit trade and intermediary activities for purchases and sales of goods conducted abroad.
Under the new regulation;
generally, 95% of the income derived from selling goods purchased abroad without bringing them into Türkiye, or from acting as an intermediary in purchases and sales of goods conducted abroad, may be deducted from corporate income.
However;
for entities operating in the Istanbul Financial Center with a participant certificate under Law No. 7412, and for entities operating in industrial zones established under the Industrial Zones Law No. 4737 and approved by the President based on the intensity of foreign investment, the deduction rate will be 100%.
Accordingly, the regulation can be summarized briefly as follows:

Important: Operating in the Istanbul Financial Center does not mean that all of a company’s income will be deducted for tax purposes. The 100% rate applies only to income arising from transit trade or intermediary activities for purchases and sales of goods abroad that fall within the scope of KVK 10/1-(i).

2. Which Transactions Are Covered by the Deduction?
The regulation essentially covers two groups of activities.
A) Purchase of goods by the company and sale abroad
A company in Türkiye purchases goods from a foreign company, but the goods are sold to a customer in another country without being imported into Türkiye.

The goods;
Germany → France
if they move in this manner, the transaction may fall within the scope of KVK 10/1-(i).
The Communiqué also provides an example in which, where the conditions are met, TL 950,000 of the TL 1,000,000 income obtained from selling goods purchased from Germany to a company in France without bringing the goods into Türkiye may be deducted.

The point to be noted here is that the 95% deduction applies to net income, not to gross sales revenue.

3. Intermediation in Purchases and Sales of Goods Abroad
The company is not required to purchase the goods in its own name.
A company in Türkiye may also fall within the scope by acting as an intermediary in a trade of goods between two companies located entirely abroad and earning commission or intermediary income.
For example:
Seller in Italy ↔ Intermediary company in Türkiye ↔ Buyer in Egypt
Assume that the company in Türkiye earns TL 400,000 in net intermediary income from this transaction.
If the conditions are met:
400,000 × 95% = TL 380,000
may be deducted from corporate income.
Taxable portion:
TL 20,000
will remain taxable. The Communiqué also provides an example of an intermediation transaction of the same nature.
Important condition for intermediation
In intermediary activities, neither the seller nor the buyer may be located in Türkiye.
Accordingly;

4. 100% Deduction in the Istanbul Financial Center
One of the significant differences introduced by the regulation concerns entities operating in the Istanbul Financial Center.
For entities operating in the Istanbul Financial Center Zone with a participant certificate obtained under the Istanbul Financial Center Law No. 7412, a 100% deduction applies to income within the scope of KVK 10/1-(i), instead of the general 95% rate.
However, three points should be particularly emphasized:
Condition Description
Operations in the IFC The entity must operate in the Istanbul Financial Center Zone.
Participant certificate A participant certificate under Law No. 7412 must be held. Merely renting an office in the IFC is not sufficient.
Nature of income The income must still arise from transit trade or intermediation in purchases and sales of goods abroad.
Under Law No. 7412, a participant is defined as a natural or legal person, branch, or other specified entity that will operate in the office area of the IFC with a participant certificate.
IFC example
(A) Inc., which holds a participant certificate in the Istanbul Financial Center;
purchased goods from a company in Japan and sold them to a customer in the United Arab Emirates without the goods entering Türkiye.
Net income from this transaction:
TL 2,000,000
let us assume.
Deduction for an ordinary company:
2,000,000 × 95% = TL 1,900,000
whereas;
for an IFC participant:
2,000,000 × 100% = TL 2,000,000
may be deducted.
Therefore, the entire amount of this income may be deducted from the corporate tax base. This situation is also specifically illustrated in Communiqué No. 26.
However, not all income earned in the IFC is tax-free
For example, assume that a company in the IFC earns:
• TL 2,000,000 from transit trade,
• TL 3,000,000 from sales to customers in Türkiye,
• TL 1,000,000 from other activities
in income.
The 100% deduction will apply only to the TL 2,000,000 transit trade income that meets the conditions.
Other income cannot be deducted under KVK 10/1-(i) merely because the company is located in the IFC.

5. 100% Deduction in Industrial Zones
Not all industrial zones established under the Industrial Zones Law No. 4737 automatically qualify for the 100% deduction.
The law provides that;
the rate is set at 100% for entities operating in industrial zones approved by the President based on the intensity of foreign investment in the zone.
Therefore, the 100% rate should not be applied automatically merely because a company operates in an industrial zone.
First, it should be verified whether the relevant industrial zone has been approved by the President for this purpose.
If the company operates in a qualifying zone;
TL 1,000,000 transit trade income → TL 1,000,000 deduction
will be possible.

6. Requirement to Transfer the Income to Türkiye
One of the most important conditions for benefiting from the 95% or 100% deduction is that the income must be transferred to Türkiye.
The income;
must be transferred to Türkiye by the deadline for filing the annual corporate tax return for the accounting period in which the income was earned.
For example, for a calendar-year company, the transfer requirement for 2026 transit trade income must be fulfilled by the deadline for filing the 2026 corporate tax return.
No deduction may be applied to income that is not brought into Türkiye within the prescribed period.
Bringing the income into Türkiye in a subsequent year does not restore the right to the deduction for the previous period.

7. Goods Entering a Customs-Bonded Warehouse
Although the wording “without being brought into Türkiye” appears in the statutory provision, Communiqué No. 26 provides an important clarification regarding customs-bonded warehouses.
Goods purchased abroad may enter a customs-bonded warehouse in Türkiye.
If the goods;
• are not released for free circulation,
• are not subject to any processing,
• are not sold to a buyer in Türkiye,
• are sent directly to a buyer abroad,
the 95% deduction may be applied.
Communiqué example
Germany → Customs-bonded warehouse in Türkiye → Bulgaria
The goods remain in the warehouse in Türkiye but are not released for free circulation through import procedures.
They are sent to the customer in Bulgaria without any processing being carried out on the goods.
Net income:
TL 2,000,000
if so;
2,000,000 × 95% = TL 1,900,000
may be deducted.
Example 4 in the Communiqué directly concerns this situation.
When is the deduction lost for goods in a warehouse?

The fundamental distinction here is whether the goods are imported into Türkiye and released for free circulation.

8. Treatment of Goods Entering a Free Zone
The situation in free zones is not as clear as it is for customs-bonded warehouses.
Under the Free Zones Law No. 3218, although free zones are parts of the Turkish Customs Territory, goods not in free circulation are treated as outside the Turkish Customs Territory with respect to import duties, trade policy measures, and foreign exchange legislation.
For example;
China → Mersin Free Zone → Germany
in a transaction carried out in this manner;
if the goods do not enter free circulation in Türkiye, are not processed, and are re-exported, the transaction is quite similar to a warehouse transaction in terms of its economic and customs characteristics.
However, although Communiqué No. 26 of the Corporate Tax General Communiqué expressly provides an example for customs-bonded warehouses, there is no example with the same degree of clarity regarding goods entering a free zone and being re-exported in the same condition.
Therefore, our assessment under the current regulation is:

Abroad → warehouse → Türkiye ❌
Abroad → free zone → abroad ⚠️ Strong legal basis, but not expressly addressed in the Communiqué
Abroad → free zone → Türkiye ❌ Not eligible for the transit trade deduction
Accordingly, for free-zone → abroad transactions involving significant amounts, obtaining a private ruling from the Revenue Administration before applying the 95% deduction would be appropriate from a tax-security perspective.

9. Should Not Be Confused with the Production Exemption in Free Zones
Purchasing and selling goods in transit through a free zone is not the same regulation as conducting production in a free zone.
There is a separate corporate tax exemption under the Free Zones Law No. 3218 for taxpayers engaged in production activities in the zone in respect of products manufactured there.
As of 2026, products manufactured in a free zone;
sold abroad, within the same free zone, or to other free zones
are covered by the exemption, subject to the applicable conditions.
Therefore, for a company engaged in production in a free zone, the production exemption under Law No. 3218 should first be evaluated, whereas for a company engaged in transit trade, the deduction under KVK 10/1-(i) should be considered.

10. Transit Trade from a VAT Perspective
The purchase of goods located abroad and their delivery abroad without bringing them into Türkiye does not technically mean that a VAT exemption is applied in Türkiye.
The key point is that, because the delivery does not take place in Türkiye, the transaction falls outside the scope of Turkish VAT.
The Revenue Administration’s private ruling dated 10 January 2024 also states that the sale of goods purchased from Germany to a customer in Germany without importing the goods into Türkiye falls outside the scope of Turkish VAT because the delivery does not take place in Türkiye.
Therefore, in the classic example:
Germany → Company in Türkiye → France
no Turkish VAT will be calculated on the sales invoice for the transit trade transaction.
However, whether a local VAT/VAT obligation arises in the foreign country where the transaction takes place must be assessed separately under the legislation of that country.

11. How Is the 95% Deduction Applied on the Tax Return?
The important point here is that the 95% amount is not removed from income in the accounting records.
Transit trade income is included in commercial balance-sheet profit in the normal manner.
Subsequently, the amount falling within the scope of KVK 10/1-(i) is claimed as a deduction on the corporate tax return.
Example
The company has;
income from its ordinary activities: TL 2,000,000
net income from transit trade: TL 1,500,000
let us assume.
Commercial balance-sheet profit:
TL 3,500,000
Transit trade deduction:
1,500,000 × 95% = TL 1,425,000
Amount remaining after the deduction, assuming there are no other items:
3,500,000 − 1,425,000 = TL 2,075,000
will remain.
In other words, transit trade income remains recorded as ordinary income in the accounts, while TL 1,425,000 is claimed as a deduction on the tax return.
It is important to track the revenue, costs, and expenses within the scope of the deduction separately from other activities. The Corporate Tax General Communiqué also requires this separation in the accounting records so that the income eligible for the deduction can be determined.

12. The Remaining 5% After the 95% Deduction and the Export Tax Rate
The sale of goods purchased abroad to a customer in another country without the goods entering Türkiye is also considered an export activity for purposes of the provisions of the KVK concerning the corporate tax rate.
The Revenue Administration’s current Corporate Tax Rate Guide expressly states that a corporate tax rate reduced by 5 percentage points may be applied to export income derived from this activity.
Therefore, in classic transit goods trade, the conditions for the additional 5-percentage-point export rate reduction should also be evaluated for the remaining income subject to tax after the 95% deduction.
For example, for TL 1,000,000 of transit trade income:

Assuming the general corporate tax rate is 25% TL 12,500
If the 5-percentage-point export reduction applies, at 20% TL 10,000
In this case, where the other conditions are also satisfied, the effective tax burden may fall to TL 10,000 on TL 1,000,000 of income, i.e. approximately 1%.
For intermediary/commission income, however, the conditions for the 5-percentage-point export rate reduction should be assessed separately from a transaction in which the transit goods are directly purchased and sold by the company.

13. Domestic Minimum Corporate Tax
Law No. 7582 provides that this deduction under KVK 10/1-(i) is also taken into account for purposes of the domestic minimum corporate tax regime.
Accordingly, the 95% or 100% transit trade deduction meeting the statutory conditions is prevented from being rendered completely ineffective solely due to the 10% domestic minimum corporate tax application.

14. Which Documents Should Be Retained in Practice?
In particular, the following should be regularly retained in order to prove the actual nature of the transaction and the conditions for the deduction during a tax audit;
• foreign purchase invoices,
• foreign sales invoices,
• transport and shipping documents,
• bills of lading / CMR and similar documents,
• warehouse entry and exit documents,
• customs records showing that the goods were not released for free circulation,
• documents showing the foreign status/location of the buyer and seller,
• intermediation agreements,
• bank transfer records,
• bank receipts showing that the income was transferred to Türkiye within the prescribed period,
• participant certificate for the IFC,
• documents evidencing that the relevant industrial zone has been approved by the President
should be retained regularly.
In addition, revenue, costs, and expenses within the scope of the deduction must be accounted for separately from other activities.

CONCLUSION
Law No. 7582 has introduced a significant corporate tax advantage for transit trade and intermediary activities involving purchases and sales of goods conducted abroad.
In general, 95% of the relevant net income may be deducted from the corporate tax base for entities meeting the applicable conditions.
For entities operating in the Istanbul Financial Center with a participant certificate under Law No. 7412, and in certain industrial zones approved by the President, the deduction rate for income derived from the same activities is 100%.
Where goods entering a customs-bonded warehouse are re-exported without being released for free circulation or being processed, the deduction may also be applied in accordance with the express example in the Communiqué.
For similar transit transactions conducted through free zones, there is no administrative guidance as clear as the warehouse treatment; therefore, obtaining a private ruling would be appropriate for transactions involving significant amounts.
In practice, particular attention should be paid to the movement of the goods, the status/location of the buyer and seller, the requirement to transfer the income to Türkiye, the IFC participant certificate, the warehouse/free-zone status, and the separate accounting of income from the relevant activity.
